Basic Information
Mr. Robin Lao is a partner in JunHe’s Guangzhou office. He specializes in capital markets, M&A and education, and has extensive experience in the areas of equity and debt financing, overseas M&A, corporate investment and financing.
In the area of capital markets, Mr. Lao has been involved in a wide range of financing and acquisition matters for clients relating to targets listed in major domestic and overseas securities exchanges, including restructuring proposals, employee incentive schemes, foreign exchange registrations, offshore investments, pre-IPO financing, legal opinions, private/family trusts, business restructuring and disposals, equity mergers and acquisitions, cross-border guarantees and foreign debt registrations, and various corporate compliance matters. He has been serving clients in a variety of industries, particularly education, fast consumer goods, manufacturing, automotive, biotechnology, internet and real estate.
In the area of corporate law and M&A, as domestic enterprises go global, Mr. Lao has participated in a large number of cross-border M&A projects involving countries such as the UK, Germany, the Netherlands, Russia, Italy, Mauritius, Kenya, Laos, Cambodia, and Peru, leading or coordinating as lead counsel various complex cross-border transactions, M&A restructurings, company formations, compliance and other legal matters.
In the field of education legal services, Mr. Lao has provided legal services for clients in fields such as private schools, overseas schools, Hong Kong and Macau universities, training institutions and childcare institutions. His services include listing and financing, business and equity restructuring, financing and M&A, compliance advice, Sino-foreign cooperation and brand introduction.
Mr. Lao has extensive experiences in handling various types of cross-border transactions with complex structures, and has a deep understanding and knowledge of Chinese laws, policies and practices. This enables him to provide strategic and practical legal advice to his clients. Mr. Lao is particularly adept at handling complex structuring issues and drafting documents in English, and is well versed in international communication practices for cross-border mergers and acquisitions.
